Wij, Mulberry Garden B.V., Zeestraat 70, 2518 AC Den Haag (“Mulberry Garden”; “wij”), hebben de applicatie “SpinOffice CRM” (“SpinOffice”) ontwikkeld die kan worden gebruikt en gedownload op www.spinoffice-crm.com or other domains, as a desktop or mobile application for Android and iOS. SpinOffice is an organizational tool for managing customer relationships. It enables users to digitally organize business contacts, manage appointments and tasks, store documents and files, streamline work, communicate, and more. SpinOffice can be used quickly, fully, and easily on any desktop or iOS device worldwide and on most common and up-to-date operating systems.
General
By downloading SpinOffice, you agree to enter into an agreement (“Agreement”) with Mulberry Garden (Chamber of Commerce number 66727375).
If you accept this Agreement on behalf of an organization, you are agreeing to these terms for that organization. You must have the authority to bind that organization to this Agreement. The Agreement with Mulberry Garden and the services (“Services”) we provide are subject to the following terms and conditions (“Terms”) regarding the use of SpinOffice.
SpinOffice is a database application that runs in our cloud. Therefore, SpinOffice qualifies as Software-As-A-Service (SAAS).
2. User Rights
Mulberry Garden grants you a limited, non-exclusive, non-transferable, and revocable license to use SpinOffice.
3. Personal Data
Mulberry Garden processes personal data in accordance with applicable data protection legislation (such as the Dutch Data Protection Act).
Mulberry Garden does:
1. Use your email address only to create your account and to send relevant information about SpinOffice;
2. Collect data solely for the purpose of running SpinOffice;
3. Protect your data with the utmost care;
4. Use cookies (see Article 12 below).
Mulberry Garden does not share your data with third parties unless legally required or with your explicit consent.
4. Updates
We may update SpinOffice to improve or add functionality or to fix errors. This can be done without prior notice. Because SpinOffice is offered to multiple users, it is not possible to exclude updates for individual users. We are not liable for any direct or indirect damages resulting from changes to SpinOffice.
5. Availability and Maintenance
We strive for continuous and optimal availability of SpinOffice but do not offer any guarantees. We reserve the right to temporarily deactivate SpinOffice for maintenance, updates, or improvements. Under no circumstances will we be liable for any compensation due to downtime.
6. Authorized Access
SpinOffice may only be used by authorized users. You agree and understand that you are responsible for keeping your login credentials confidential. In case of misuse or suspected misuse of your credentials, you must notify us immediately.
7. Backup and Security
You, not Mulberry Garden, are responsible for maintaining and safeguarding your data. We are not liable for data loss, corruption, or related costs, including backups or data recovery.
SpinOffice implements appropriate organizational and technical measures to ensure the security and confidentiality of your personal data.
8. Disclaimer of Warranties and Limitation of Liability
We provide SpinOffice “as is” and “as available,” without any warranties of any kind. To the extent permitted by law, Mulberry Garden disclaims all implied warranties or representations. We do not guarantee that SpinOffice will meet your requirements, be available, uninterrupted, secure, or error-free, or that defects will be corrected.
In no event shall SpinOffice be liable for any indirect damage suffered by users or third parties, including consequential damage, data loss or disclosure, loss of revenue, or intangible loss.
Mulberry Garden’s liability towards the user, regardless of the legal basis (including breach of warranty), is limited to a maximum of €500.00 (five hundred euros), excluding VAT, whereby a series of related events is considered one single event.
9. Intellectual Property Rights
Mulberry Garden retains all legal rights, title, and interest in and to SpinOffice.
10. Suspension of Services
Mulberry Garden reserves the right to suspend or terminate access to SpinOffice and its Services at any time, with or without reason, and with or without notice. If we suspend or terminate your access, we will make reasonable efforts to inform you and assist with data retrieval.
11. Term and Termination
This Agreement remains in effect until your subscription to Mulberry Garden and its Services expires or is terminated. Either party may suspend or terminate this Agreement if: (i) the other party materially breaches the Agreement and fails to remedy such breach within 30 days of written notice, or (ii) the other party ceases business operations or becomes subject to insolvency proceedings not dismissed within 90 days.
You may terminate this Agreement at any time by deactivating your SpinOffice account. You may stop using SpinOffice and our Services at any time.
Upon termination: (i) All rights granted to you by Mulberry Garden will immediately end (unless stated otherwise); (ii) We may provide you with access to your account to export your data; and (iii) After 30 days, Mulberry Garden may delete all data related to your account.
Mulberry Garden may also delete your account data if SpinOffice has not been used for 90 consecutive days.
12. Cookies
Mulberry Garden uses cookies in SpinOffice and on its websites to enhance efficiency. A cookie is a small piece of information stored by an application on your computer or device. Cookies help simplify and analyze the use of SpinOffice and our websites. For example, functional cookies record your login status to prevent you from entering the same information repeatedly when visiting SpinOffice or our websites.
Many SpinOffice features are only available with cookies enabled. If you don’t want to allow cookies on your device, you can configure your browser to alert you when cookies are created or block them altogether. This may affect the proper functioning or display of certain aspects of SpinOffice, or cause you to re-enter your login details more frequently.
To understand which cookies Mulberry Garden uses in SpinOffice, we’ve created the following table in accordance with the European e-Privacy Directive (2009/136/EC). Please note that this list is indicative and may change over time.
13. Governing Law and Jurisdiction
The services provided by Mulberry Garden are governed by the laws of the Netherlands. Any disputes will be submitted to the competent court in The Hague, the Netherlands.
